1. Acceptance of Terms

By accessing or using SaleTrakk (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and SaleTrakk LLC, a California limited liability company (“Company”, “we”, “us”, or “our”).

2. Description of Service

SaleTrakk is a commission and lead tracking tool for sales professionals. It enables users to track leads, manage projects, record payments, monitor commissions, and analyze sales performance. The Service is operated by SaleTrakk LLC.

3. Account Registration

• You must provide accurate and complete information when creating an account
• You are responsible for maintaining the confidentiality of your password
• You must be at least 18 years old to use the Service
• You are responsible for all activity that occurs under your account
• You must notify us immediately of any unauthorized use of your account at saletrakk@gmail.com
• You may not share your account credentials with others

4. Subscription and Billing

• Free trial: 30 days. No credit card required to start.
• Subscription: $9.99 per month for full access to all features, with unlimited leads and projects.
• Your subscription is billed monthly. You may cancel at any time.
• Cancellation takes effect at the end of the current billing period — you retain access until then.
• No refunds are provided for partial billing periods.
• We reserve the right to change pricing with 30 days' advance notice to existing subscribers.

5. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any applicable law
• Share your account credentials or allow others to access your account
• Scrape, crawl, or use automated tools to extract data from the Service
• Attempt to reverse-engineer, decompile, or access the Service's source code without authorization
• Upload malicious code, viruses, or any content intended to harm the Service or its users
• Interfere with or disrupt the integrity or performance of the Service
• Impersonate any person or entity or misrepresent your affiliation with any person or entity

6. Your Data and Data Ownership

You own your data. All leads, projects, payments, commission records, and other business information you enter into SaleTrakk remains your property. We do not claim ownership of any data you submit.

• You may export all your data at any time using the built-in backup/export feature
• You grant us a limited license to store and process your data solely to provide the Service
• We will not use your business data for any purpose other than operating the Service
• Upon account deletion, your data will be removed within 30 days

7. Intellectual Property

The SaleTrakk application, including its design, code, branding, and all content created by us, is owned by SaleTrakk LLC and protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our proprietary content without express written permission.

8. Service Availability

We aim for 99.9% uptime but do not guarantee uninterrupted access to the Service. We may perform scheduled maintenance with reasonable advance notice. We are not liable for downtime or data loss resulting from causes outside our reasonable control, including third-party infrastructure failures.

9. Termination

• By you: You may cancel your account at any time. Access continues through the end of your paid period.
• By us: We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or if required by law.
• Upon termination, your right to use the Service ceases immediately. We may delete your data after a reasonable grace period.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will be error-free, uninterrupted, or free of viruses or other harmful components.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SaleTrakk LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of data or business records
• Missed commissions or lost income
• Business interruption or losses
• Any damages arising from your reliance on the Service for financial decisions

Our total aggregate liability to you for any claims arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless SaleTrakk LLC, its officers, employees, and agents from any claims, damages, or expenses (including reasonable attorney's fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in California, and you consent to personal jurisdiction in those courts.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or a prominent in-app notice at least 14 days before the changes take effect. Your continued use of the Service after changes become effective constitutes your acceptance of the updated Terms.
